Terms of Use

These Terms of Use ("Terms") govern your access to and use of MeSign's digital signature services ("Services"). By using our Services, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please do not use our Services.

1. Acceptance of Terms:

By using MeSign, you affirm that you are at least 18 years old or have the legal capacity to enter into these Terms. If you are using MeSign on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Changes to Terms:

We may revise these Terms from time to time. Any changes will be posted on our website, and the "Effective Date" will be updated. Your continued use of our Services after changes have been posted signifies your acceptance of the revised Terms.

3. Use of Services:

a. Account Registration:

To access MeSign, you must create an account. You agree to provide accurate and up-to-date information during registration and to keep your account details current.

b. Account Security:

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. Notify us immediately if you suspect any unauthorized use of your account.

c. Restrictions:

You agree not to engage in any of the following activities:

  • Violating any local, state, national, or international law.
  • Impersonating any person or entity or misrepresenting your affiliation.
  • Interfering with or disrupting the Services, servers, or networks.

4. Intellectual Property:

a. Ownership:

MeSign and its licensors retain ownership of all intellectual property related to the Services. The MeSign name, logo, and associated product and service names are trademarks of MeSign or its licensors.

b. License:

Subject to these Terms, MeSign grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes.

5. Fees and Payment:

a. Subscription Plans:

Certain features of the Services are available via subscription ("Subscription"). Subscriptions are billed in advance on a recurring basis ("Billing Cycle") according to the plan you select, which may be monthly or annually.

b. Payment Methods:

You must provide a valid payment method. You authorize us to charge your selected payment method for Subscriptions and any fees related to your use of the Services.

c. Changes to Fees:

MeSign reserves the right to adjust Subscription fees at any time. We will notify you of any fee changes in advance before they become effective.

6. Termination:

a. By You:

You may cancel your account at any time by following the instructions provided in the Services. Upon termination, you must stop using the Services.

b. By MeSign:

MeSign may suspend or terminate your account without prior notice if we believe your actions violate these Terms, harm other users, or for any other reason.

c. Effect of Termination:

Upon termination, you lose access to the Services, including any data stored in your account. We may, but are not obligated to, delete your data from our systems.

7. Limitation of Liability:

To the maximum extent permitted by law, MeSign, its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the Services.
  • Unauthorized access to your account or personal information.
  • Interruption of Services.
  • Bugs, viruses, or harmful software transmitted through our Services.
  • Errors or omissions in content, or damages resulting from your use of any content shared through the Services.

8. Indemnification:

You agree to indemnify and hold MeSign, its affiliates, officers, employees, agents, partners, and licensors harmless from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of your use of the Services, violation of these Terms, or infringement of any intellectual property or other rights of any person or entity.

9. Governing Law:

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms will be resolved exclusively in the federal or state courts located in Texas, and both parties consent to the jurisdiction of such courts.
